Welcome to Swire Properties’ e-Contractor List Management System (“Platform”). This Platform is designed to facilitate your registration and onboarding as a contractor for Swire Properties Limited and its affiliates (“Swire Properties”). By accessing or using our Platform, you acknowledge and agree to comply with these Terms of Use. If you do not agree, please refrain from using the Platform.

1. User Obligations and Responsibilities

1.1 Users must provide accurate, complete, and up-to-date information throughout their use of the Platform.

1.2 Users are responsible for maintaining the confidentiality of their account credentials and for all activities conducted under their account. Swire Properties is not responsible for any unauthorised access to your account or any tender submitted due to your failure to keep your password secure or through any other means, and any damages or consequences arising out of such access.

1.3 Users must use the Platform in compliance with all applicable laws and regulations, including but not limited to procurement related laws, anti-corruption laws, and data protection laws.

1.4 Users shall not engage in any activity that disrupts or interferes with the proper functioning of the Platform, including but not limited to introducing malware, hacking, or attempting to gain unauthorised access to other accounts.

1.5 Users are prohibited from using the Platform to submit, upload or share unlawful, defamatory, or infringing content.

1.6 Data transmission over the internet cannot be guaranteed to be completely secure and may be subject to delay, inaccuracy, loss and interruption of any kind and in any manner. Swire Properties is not responsible for any damages incurred by the users in their sending to or receiving from Swire Properties of data, information and messages over the internet.
2. Limitation of Liability

2.1 The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

2.2 The Platform shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use of the Platform, including but not limited to loss of profits, business interruption, or data loss.

2.3 The Platform does not guarantee the accuracy, reliability, or completeness of information provided by other users or third parties on the Platform.
3. Intellectual Property Rights

3.1 All intellectual property rights in the Platform, including but not limited to software, design, trademarks, and content, are owned by Swire Properties or its licensors.

3.2 Users are granted a limited, non-exclusive, non-transferable licence to use the Platform solely for its intended purpose.

3.3 Users shall not copy, modify, distribute, or reverse-engineer any part of the platform without prior written consent from Swire Properties.

3.4 Any content uploaded by users to the Platform remains their property; however, by uploading such content, users grant Swire Properties a worldwide, perpetual, royalty-free licence to use, reproduce, and display the content for the purpose of operating the Platform and accessing the tender.
4. Governing Law and Dispute Resolution

4.1 These Terms of Use shall be governed by and construed in accordance with the laws of Hong Kong.

4.2 Any disputes arising out of or in connection with these Terms of Use shall first be resolved through amicable negotiations between the parties. If negotiations fail, disputes shall be submitted to arbitration under the rules of the Hong Kong International Arbitration Centre (HKIAC).
5. Termination of User Accounts

5.1 Swire Properties reserves the right to suspend or terminate user accounts without prior notice if users violate these Terms of Use or engage in unlawful or harmful activities.

5.2 Upon termination, users shall immediately cease using the Platform and forfeit access to their account and any associated data.

5.3 Termination does not relieve users of any outstanding obligations, including indemnification for damages caused to Swire Properties.

A. The Personal Data We Collect 蒐集的個人資料

We, Swire Properties Management Limited, may collect personal data from you as provided by you in our e-Contractor List Management System ("eCLM") such as your name, contact number, email address, HKID no. (prefix and first 3 digits). ("Personal Data")
我們(即太古地產管理有限公司)可能會透過我們的E承包商管理系统（「eCLM」）收集您提供的個人資料，例如您的姓名、聯絡電話、電郵地址及香港身份證號碼（首個英文字母及首三個數字）。（「個人資料」）

By providing the Personal Data to us, you acknowledge that our collection of the Personal Data is fair and reasonable in the circumstances. Certain Personal Data is necessary for us to provide you with access to and use of eCLM and to process your onboarding as a contractor. Failure to provide such Personal Data may result in us being unable to grant you access to eCLM, complete your contractor onboarding, and/or permit your participation in our tender exercises.
通過向我們提供個人資料，您確認我們在此情況下收集個人資料是公平且合理的。某些個人資料乃我們向您提供 eCLM 查閲及使用權限，以及為您辦理承辦商登記程序所必需。若您未能提供相關個人資料，我們可能無法向您提供 eCLM 的查閲及使用權限、完成您的承辦商登記程序，及／或允許您參與我們的招標活動。

If you provide Personal Data to us on behalf of another person, please ensure that you have provided them with this PICS and obtained their consent prior to disclosing their Personal Data to us.
如您代表他人填寫及提供個人資料，請確保已向該等人士提供本收集個人資料聲明的副本，並取得其同意向我們披露其個人資料。
B. Purposes for which Personal Data are Collected and Used 蒐集個人資料的目的及用途

We may use the Personal Data you provide for one or more of the following purposes:-

1. For providing you with access and use of the eCLM;

2. For the purpose of onboarding, administering, and managing your engagement as a contractor, including facilitating access to our systems, resources, and premises, and maintaining ongoing contractor management activities;

3. For communicating with you by email, mail, fax, phone or other means;
  利用電郵、郵寄、傳真、電話或其他方式與您聯繫；
We will not use your Personal Data in ways which are unrelated to the above purposes without your prior consent.
我們不會在未經您事先同意的情況下，以與上述目的無關的方式使用您的個人資料。
C. Disclosure and Transfer of Personal Data 披露及傳送個人資料

To facilitate the processing purposes mentioned above, we may disclose and transfer your Personal Data to our group companies and affiliates or third-party vendors.
